SEC Regulation D provides for three investor categories: accredited, foreign or sophisticated. This status is extremely important because the reason that securities remain exempt from the Securities Act of 1933 and do not require registration are only so long as a prospective issuer avoids general solicitation or general advertising within the meaning of Regulation D §502(c). As such, the Nustar IPO web site is intended to only solicit individuals who meet the "accredited investor", "foreign investor" or "sophisticated investor" standards of Regulation D to build its customer base of qualified investors.

Only after meeting the requirements of one of the Regulation D categories may an investor qualified as an accredited investor, foreign investor or sophisticated investor review offers for private offerings of securities from companies that have posted private offerings with Nustar in accordance with the rules otherwise applying under Regulation D. This solicitation for such investors is independent of and is not linked or made specifically with reference to any pending private offering. Moreover, the intent is that such investors are not to invest in private offerings that are posted on Nustar prior to the registration of the investor as an accredited investor, foreign investor or sophisticated investor.
