and Exchange Commission requires the posting of a notice of a private offering in a password protected page by Nustar accessible only to Nustar members who have previously qualified as "accredited investors", "foreign investors" or "sophisticated investors" as such terms are defined in §506 of Regulation D. This notice and related password protection is required to ensure that the presentation of such information by Nustar does not involve any form of general solicitation or general advertising within the meaning of Regulation D §502(c) as promulgated under the Securities Act of 1933."
As part of Nustar's goal to provide information on high technology companies and other emerging businesses seeking additional capital for financing, Nustar provides the opportunity for prospective investors to qualify as accredited, foreign or sophisticated investors by filling out confidential questionnaires to determine their status.
After qualification, such investors may obtain information about private placements posted on the Nustar site and ensuring that they are contacted in a manner in compliance with the regulations promulgated by the U.S. Securities and Exchange Commission ("SEC"). In addition, Nustar IPO is in the process of obtaining "no action" letters from the SEC on the manner and effect of providing private placement memorandums under Regulation D of the Securities Act of 1933 via the Internet.
In order to qualify as an investor permitted to review Nustar's private placement memorandums, you will need to fill out a questionnaire applicable to your status which focuses on either your financial net worth (e.g., accredited investor status), your residence outside the U.S. and its territories (e.g., a non-U.S. or "foreign" investor) or your history and experience of investing in substantial business ventures and other sophisticated financial interests (e.g., sophisticated investor).
Upon qualification in one of these three categories, a response will be forwarded to you by e-mail notifying you of your qualification and providing by e-mail information regarding private placement memorandums which are available through the Nustar IPO site.
