SEC Regulation D provides for three investor categories: accredited, foreign or sophisticated. This status is extremely important because the reason that securities remain exempt from the Securities Act of 1933 and do not require registration are only so long as a prospective issuer avoids general solicitation or general advertising within the meaning of Regulation D §502(c).
